Terms of Service

The agreement between you (or the organization you represent) and CloudWeld LLC for using Ooky.

Plain-English preamble Use Ooky for lawful purposes. Don't abuse our infrastructure or point it at sites you don't control. We keep the service running and charge what's on your order. Either of us can walk away — you can cancel at any time, and we can terminate if you breach these terms. Our liability is capped at what you paid us in the last 12 months.

1. Acceptance of terms

By creating an Ooky account, accessing ooky.ai, or using the Ooky service (collectively, the "Service"), you agree to these Terms of Service ("Terms") and our Privacy Policy. If you're signing up on behalf of an organization, you represent that you have authority to bind it to these Terms, and "you" means that organization.

2. Your account

  • You must be at least 16 years old to use the Service.
  • You're responsible for keeping your login credentials secret and for all activity under your account.
  • Notify us immediately at security@ooky.ai if you suspect unauthorized access.
  • You must provide accurate information and keep it up to date.

3. The service

Ooky provides a platform to declare structured brand intelligence, serve that intelligence to AI bots at the Cloudflare edge, track how LLMs respond to prompts about your brand, and analyze bot-session traffic.

We may update, modify, or remove features over time. We won't materially reduce paid-tier features during a billing period without giving you notice and, where appropriate, a refund of the unused portion.

4. Acceptable use

You agree not to:

  • Use Ooky on domains or content you don't own or have explicit permission to represent.
  • Send fraudulent, defamatory, or unlawful intelligence content to AI bots.
  • Attempt to break, probe, overload, or reverse-engineer the Service.
  • Resell, white-label, or provide the Service to third parties without a written partner agreement.
  • Use the Service to build a competing product.
  • Scrape, crawl, or copy the Service beyond what these Terms or the app UI permits.
  • Upload malware or content that infringes IP, privacy, or data-protection rights.

We may suspend accounts that violate this section while we investigate. Egregious violations may result in immediate termination without refund.

5. Your content and ours

Your content

You retain ownership of everything you put into Ooky — declared facts, site content, prompts, organization data (collectively, "Your Content"). You grant us a non-exclusive, worldwide license to host, process, and serve Your Content strictly to deliver the Service to you. We do not use Your Content to train models for anyone else.

Our content

Ooky, the ooky.ai site, source code, UI, brand, and documentation are owned by CloudWeld LLC and protected by copyright and trademark law. You may use them only as the Service itself permits.

Feedback

If you send us suggestions, we may use them freely without obligation.

6. Subscriptions and billing

  • Plans — plan features and prices are listed on our pricing page. Free accounts are free; paid plans renew automatically on the billing cycle you selected (monthly or annual) until cancelled.
  • Payments — processed by Stripe. You authorize us to charge your payment method for all amounts due.
  • Taxes — prices exclude VAT, sales tax, GST, and similar. You're responsible for these where applicable; we'll collect where legally required.
  • Upgrades / downgrades — take effect immediately, with prorated charges on the next invoice.
  • Refunds — fees are non-refundable except as required by law or as explicitly stated in an order form. Annual plans: if you cancel, service continues to the end of the term but no prorated refund is issued.
  • Overdue accounts — we may suspend the Service for unpaid invoices after a 10-day notice.

7. Cancellation and termination

  • You may cancel any time from the billing settings. Cancellation takes effect at the end of the current billing period.
  • We may terminate for material breach (including AUP violations, non-payment, or fraud) on notice, or immediately for legal or security reasons.
  • On termination, your access ends, and we'll delete or return Your Content within 90 days, subject to legal retention obligations.

8. Warranties and disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing.

We do not warrant that the Service will be uninterrupted, error-free, or that it will influence the output of any particular AI model. Third-party AI platforms behave in ways we do not control.

9. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, even if advised of the possibility.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Service is limited to the amounts you paid us in the 12 months preceding the event giving rise to the claim.

Nothing in these Terms limits liability for gross negligence, willful misconduct, fraud, or anything that cannot be limited by applicable law.

10. Indemnification

You agree to defend and indemnify CloudWeld LLC and its officers, employees, and agents against claims, damages, and costs arising out of (a) Your Content, (b) your use of the Service in violation of these Terms, and (c) your violation of any law or third-party right.

We'll indemnify you against third-party claims that the Service itself infringes a patent, copyright, trademark, or trade secret — subject to prompt notice and our control of the defense.

11. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware, except that either party may seek injunctive relief in any competent court to protect intellectual property or confidential information.

If you are an EU or UK consumer, this section does not override rights granted to you under mandatory local law.

12. Changes to these terms

We may update these Terms from time to time. If a change is material, we'll give notice by email or in-app banner at least 30 days in advance. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Miscellaneous

  • Entire agreement — these Terms, the Privacy Policy, and any signed order form make up the entire agreement between us.
  • Assignment — you may not assign these Terms without our written consent. We may assign to an affiliate or in connection with a corporate transaction.
  • Severability — if any provision is unenforceable, the rest remains in effect.
  • No waiver — failure to enforce any right is not a waiver.
  • Force majeure — neither party is liable for delays caused by events beyond reasonable control.
